1. INTRODUCTION

This Terms of Use Agreement (“Agreement”) constitutes a legally binding agreement made between you (whether personally or on behalf of an entity, “user” or “you”) and Louis Law Group, PLLC and its affiliated companies (collectively, “LLG,” “Company,” “we,” “us,” or “our”), concerning your access to and use of the www.LouisLawGroup.com website as well as any other media form, media channel, mobile website, or mobile application related or connected thereto (collectively, “LouisLawGroup.com” or the “Website”). LouisLawGroup.com functions as an online resource, contact platform, and portal for LLG Services offered by Louis Law Group, PLLC. Supplemental terms and conditions or documents that may be posted on LouisLawGroup.com from time to time are hereby expressly incorporated into this Agreement by reference. 1.1 Jurisdiction & Availability

LLG has attorneys licensed to practice in Florida, Texas, and Washington, D.C. The information provided on LouisLawGroup.com is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use is contrary to law or regulation, or would subject LLG to any registration requirement in such jurisdiction. Users who choose to access LouisLawGroup.com from other locations do so at their own initiative and risk and are responsible for compliance with local laws.

  • Password & Account Security: You will maintain the confidentiality of your password and be responsible for all use of your account.
  • Age & Parental Permission: You are not a minor in the jurisdiction where you reside; or if you are a minor, you have received parental permission to use the Website.
  • Legal Compliance: Your use of our Services does not violate any applicable law, rule, or regulation.
  • Updates: You will promptly update your registration data to keep it accurate and complete.

8. TERM AND TERMINATION

  • Without limiting any other provision, we reserve the right to deny access to and use of LouisLawGroup.com to any person for any reason or no reason, including for breach of any representation, warranty, or covenant in this Agreement or any applicable law.
  • We may terminate or suspend your use or participation at any time without notice.
  • If we terminate or suspend your account, you are prohibited from creating a new account under your name or the name of any third party.

Any provision necessary to fulfill its purpose after termination will survive, including disclaimers, limitations of liability, indemnification, and dispute resolution terms.

9. MODIFICATIONS AND INTERRUPTIONS

  • Modifications: We may modify this Agreement at any time. All changes will be posted on LouisLawGroup.com and indicated by a new “Version Date.” Continued use of our Services constitutes acceptance of such changes.

YOU AGREE THAT YOUR USE OF LOUISLAWGROUP.COM AND OUR SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, LLG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH LOUISLAWGROUP.COM AND THE SERVICES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We make no warranties or representations about the accuracy or completeness of LouisLawGroup.com’s content or the content of any websites linked to LouisLawGroup.com. We assume no liability or responsibility for (a) errors, mistakes, or inaccuracies of content, (b) unauthorized access to or use of our secure servers, or any personal/financial information stored therein, (c) interruption or cessation of transmission, (d) bugs, viruses, Trojan horses, or the like, or (e) any errors or omissions in any content.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LLG OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF LOUISLAWGROUP.COM OR OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CAUSE WHATSOEVER SHALL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICES IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless LLG, its subsidiaries, affiliates, and their respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, arising out of or related to your (a) use of the Services, (b) breach of this Agreement, or (c) violation of any law or the rights of a third party.

15. USER DATA

We will maintain certain data that you transmit to LouisLawGroup.com for the performance of our Services, as well as data relating to your use of our Services. While we perform routine backups, you are primarily responsible for any data you have transferred or that relates to your activity. We have no liability to you for any loss or corruption of data, and you waive any right of action against us arising from any such loss or corruption.

16. ELECTRONIC COMMUNICATION, TRANSACTIONS, AND SIGNATURES

Your use of our Services includes the ability to enter into agreements and/or make transactions electronically. You agree that your electronic submissions constitute your intent to be bound by such agreements and transactions. You accept responsibility for reviewing and understanding all terms and conditions before entering into any transactions electronically.

17. CONSUMER COMMUNICATION & CONSENT TO CONTACT

  • Calls and Text Messages: By providing your phone number(s) to us, you authorize LLG and its affiliates, agents, or employees to contact you at such number(s) regarding your inquiries, potential legal matters, or any services we provide. This includes phone calls, text (SMS) messages, and pre-recorded/artificial voice messages via an automatic telephone dialing system. Standard message and data rates may apply.
  • Accuracy: You represent that the telephone numbers you provide are your own and that you are permitted to receive calls and texts at those numbers.
  • Call Recording: To ensure inquiries are handled accurately, courteously, and promptly, phone calls between you and LLG may be recorded. By calling or accepting calls from LLG, you agree to such recording.

Any information found on LouisLawGroup.com is provided for general informational purposes only and does not constitute medical, financial, or professional advice. 19. ADVERTISING DISCLOSURES / NO GUARANTEE OF RESULTS

20. ARBITRATION CLAUSE

By using our Services, you agree that any disputes, claims, or controversies arising out of or relating to this Agreement, including its interpretation, validity, breach, or enforcement, shall be resolved exclusively through binding arbitration as follows:

  1. Governing Rules: Arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA) or JAMS, in effect at the time the dispute arises.
  2. Location & Procedure: Unless otherwise agreed, arbitration shall take place in Miami, Florida, or may be conducted remotely if both parties consent, before a single neutral arbitrator.
  3. Confidentiality: All arbitration proceedings, including submitted materials, shall remain confidential, except as required by law.
  4. Costs & Fees: Each party bears its own arbitration costs and attorneys’ fees unless otherwise required by the applicable arbitration rules or ordered by the arbitrator.
  5. Exceptions: Nothing in this clause precludes either party from seeking injunctive or equitable relief in a court of competent jurisdiction regarding data security or intellectual property disputes.
  6. Class Action Waiver: All claims must be brought on an individual basis. You and LLG waive any right to participate in a class-action lawsuit or class-wide arbitration.
  7. Final & Binding Decision: The arbitrator’s decision is final and binding, and may be enforced in any court of competent jurisdiction.

21. MISCELLANEOUS

  • Entire Agreement: This Agreement constitutes the entire agreement between you and us regarding the use of LouisLawGroup.com and our Services.
  • No Waiver: Our failure to exercise or enforce any right or provision of this Agreement does not operate as a waiver of such right or provision.
  • Severability: If any provision of this Agreement is found to be unlawful, void, or unenforceable, that provision is severable and does not affect the validity of the remaining provisions.
  • Assignment: You may not assign your rights or obligations under this Agreement without our written consent. We may assign our rights and obligations at any time.
  • No Joint Venture: No joint venture, partnership, employment, or agency relationship exists between you and LLG because of this Agreement or use of LouisLawGroup.com.
  • Headings: Section titles are for convenience only and have no legal or contractual effect.

22. ACCEPTANCE

By accessing LouisLawGroup.com or using our Services, you agree to be bound by this Agreement. If you do not agree, you must refrain from using or accessing our Website. Your continued use of LouisLawGroup.com after any posted modification of this Agreement constitutes your acceptance of such changes.
